A tender offer is a broad solicitation by a company or a third party to purchase a substantial percentage of a companys Section 12 registered equity shares or units for a limited period of time. The offer is at a fixed price, usually at a premium over the current market price, and is customarily contingent on shareholders tendering a fixed number of their shares or units. Under the Securities Exchange Act of 1934, parties who will own more than five percent of a class of the companys securities after making a tender offer for securities registered under the Exchange Act must file a Schedule TO with the SEC. The rules also set time limits for the tender offer and provide other protections to shareholders. When a public company makes a tender offer for a class of its own equity securities, it similarly must file a Schedule TO and may also need to file a Schedule 13E-3.

11月5日,接到强生的笔试通知信。上BBS看往届的题目,以综合知识测量为多。11月8日
上午晚起了,匆临华工五山,险些迟到。题目全是汉语,大体和公务员差不离,做得比较
轻巧。遇到了同班丫头叶绿素,小姑娘傻傻的说当时花了五分钟做例题,估计没戏了。谁
知丫头最后进了PG,也是做销售管培。(题外话:一直很欣赏上进的丫头)。。。。。。
旁边考试的姐姐是华工食品专业毕业一年的研究生,地产公司绩效不好,嫩生生的将她裁
了。后来在一面时又见到了她,老实说,从那时起,我对女生的同情心就渐长。“女人花
摇曳在红尘中,女人花虽风情千百种……”无奈社会是个只顾填肚子的巨兽,牛嚼牡丹也
见怪不怪了。

一切付出和承受都会有回报。就像燕子衔泥终会有窝一样。14号下午,中大南校培训公寓
展开一面,貌似8个房间同时进行。政务学院去的还挺多的呢,公关班的LB小伙儿就是挺欣
赏的一个哥们。大家穿着很正式,以后如果穿成这样去搞销售,人家非得以为俺们是国安
局的不可。远道而来的朋友还有深圳的哥们GL。想想我们中大的、广州的学生毕竟坐收了
许多地利,心里又是一凛。潮汕等远地儿的朋友们,一定要挺住啊。路途虽遥远,可是想
想古人,还是要方便了很多。
写到这里,我开始调整思维,感谢运道。一号房,我被邀请到一号房间面试。进去前我开
始催眠自己,将仪容调配到最佳状况:鸟语花香,春光明媚,一束ray of angel从豁亮的
天宇照下来,洒在我的身上,我在轻松而略略激动的氛围中,要和“失散多年”的“远房
大哥”见面了。是的,我是去叙旧,会会老友,是命运把他带到我身边的。和则两利,不
和就走人,这没啥好说的。我倒是很愿意通过他,来看到更真实的自己。
一进门发现床上被窝蓬松,主考官大人正在接电话,示意让我先等等。我坐在小茶几旁,
看他30多岁年纪,和蔼可信,松松手提醒自己“心平常,自非凡。”接过电话,他笑着摊
开我的简历,让我先介绍自己。我就老老实实的说了自己的背景、几个优势,心态什么的
,算是挑起话题。我提到了自己在校辩论队比赛、少年宫做翻译、交换生、实习、参加综
合竞赛等经历,他也很有兴致的听,一边来回翻简历。我一直保持比较慢的语速,而且很
开心的诉说,希望气场可以刚刚好。他问到我缺点,我老实说“我有很多缺点,而且不少
是在我自己不知情的情况下养成的,但是我一定会正视它们,并且一辈子用美德、友善和
勤奋来补足。”他笑言“不要不自信嘛”。不过我真的认为一个人的缺点必须要正视。与
其说一些不痛不痒人畜无害的东西,不如展露真实的自己。我直接坦白我的思想太繁复了
,“简约的力量亟待加强,过犹不及”等等。他微笑着告诉我,你的能力我知道了,我估
计你进二三面都没有问题,关键是你想不想做销售,你仔细想想,三分钟后告诉我。很突
然的方式!但是很有派头!然后他就接起了电话,略微听到电话里传来女儿甜甜的声音,
好像是问他周末在哪里吃饭。然后他就很自然的流露出成功男人的那种护犊爱家的情怀,场面分外温馨。我想起了
两个画面:多年前我在香江野生动物世界看见一个开轿车的男人带着一家几口停在长颈鹿前面拍照,儿子格外兴奋
;二沙岛上一位年轻母亲在辆SUV旁收拾什么,一个背书包戴棒球帽的小男孩开心的'放学回来。
当然,我是不敢让思绪飘得太远。确定自己的想法后,我很坚定的告诉他我喜欢销售。并
且我把强生的文化摆成了一个重要理由。
最后他还问我有无问题,我准备得实在不够好。1.强生除了现在的综合医疗保健护理,未
来有无可能拓展其他领域?答:“我只负责强生中国有限公司方面的,所以你还是问这方
面吧。2.您进强生之前的设想是否与现在的生活状况基本一致?答:基本是吧!我养活我
的家庭,她们很幸福。我进强生已经了,我有足够的经验看出你行。既然行,就没有
必要浪费别人的时间了,你的能力……但我比你会做人……希望你可以……加油!”
感谢他给我的信心。一个很好的强生人!他眼光非常老辣,后来想起来,虽然他毫不“凶
狠”,接电话“漫不经心”,实际上我的一举一动他洞若观火。之前也没想过掩饰,HR大
概都会料事如神。作为一个成功者,如果可以给后辈一些忠告和鼓励,尤其是鼓励,真诚
的鼓励,是堪比赐予仙丹灵露的。我虽然对自己一直都有信心,可是这样的鼓励还是很少
听到。心里居然更多的涌起了感动。临走前,我向他要了电邮,不管能不能录取,以后都
想向他多多请教。事后得知,这个交朋友的无心之举,无形中可能加分了。他说当天也有
另外一个中大女生向他要了电话,让他印象深刻。可见,适时的主动还是有好处的。如果
你真正把他们当成远房亲戚,就不会畏惧了,有的只是热忱。
那天下午邀QH哥们一起出来吃饭,在永芳堂签的金色草地上照相。(本人喜欢随身带相机
)之后去了珠江边,一个流浪歌手吸引了我俩。他的唱功不弱,沧桑是弦。我坐在石凳上
静静的听,远处朗润的江风一阵阵吹拂,匆匆路人谁也不肯停下脚步。一只狗嗅过来,很
快被牵走了;童车里的小孩回头使劲张望,妈妈快步将他推过。我将西服顶在头上躲开闹
哄哄的蚊子家族,望着或明或暗的隔江风景,倥偬如隔世。那一可,时间是静止的,灵魂
是休息的。我对流浪歌手有着深深的敬意,尽管他们因自己的选择拒绝了微笑歌颂生活的
本能。他很真实,他自食其力,他一点星光夜穿天,强压了众生的魔咒。

举世夸而不自傲,举世非而不沮丧”,实际上还是有点性急了。从14号一面到24号,中间
是长长长长的时间。期间我忍不住向一面面试官询问,他很耐心的回复电邮和短信,让我
不要急,并且表示万一没有果子的话,他会不惜调整私人时间帮忙安排我去二面。想来真
是太急了,人家事务繁忙,还要接受我这小小的“没完没了”。谢谢他,他教会我很多,
如何去鼓励别人、帮忙别人,如何给他人机会和力量,这些都是我以后要努力做到的方向
。幸运的是,23号下午,我收到了上海ChinaHR打来的电话,告诉我24号下午二进宫。这样
,我在期许和微微的焦急中顺利走到群面。不过近二面之前,我已经开始渐渐平静了心态

提前三十分钟到,被接引到讨论室坐下,名牌都写好了。六人中四人中大,一个广外,还
有一个是武大毕业在渣打工作的姐姐。我们提前聊了起来,无非就谈谈地地域、饮食、语

总体说,这道题很能看出一个人的思辨能力,尤其是从不同角度看问题和最后根据重要指
标整合目标的能力。我充当了一个启发型和服务型的leader,从多个角度提出参考,让大
家讨论,尽量兼顾每个人的发言。“leader”在中国语意中有点被曲解了。我宁愿用soci
al worker(社工)这个词。那个人应当是启发大家一起把思维之火点亮的,真正的leade
r应是团结人、启发人、带领人而不是压制人、郁闷人的,尤其当大家都很聪明时。
自告奋勇做了呈词人,并请大家补充。可能是这段时间看凤凰卫视的何润峰的节目看多了
,搞得我说起话来都多了几分他的色调,可我其实并不喜欢他。在辩论队的积累还是大大
的有效果的,我赢得了队员们的掌声,出来时大家都夸我做得很好。送深圳渣打的姐姐上
了地铁,大家伙都不容易。晚上就收到了25日下午三面的通知,而且我们组进三面的还有
好几个同学呢!
和这几个二面同组的同学着实有感情,祝愿大家一路走好,我们是朋友。

25号下午终面,上午肯定再得贮备点强生的知识。上网记了下发展史大略。而它的广告才
是真正吸引了我,我是抽着鼻子看的,心中暖意融融。
下午来到强生,先填一份求职情况表。然后被带到单房内,在30分钟内做一个推荐自我的
全英PPT,面对HR,做15分钟最后陈述。轮到我时,电脑居然死机,搞了半天才开始。想来
点创意,又怕不适宜,最后还是中规中矩的搞了个PPT,放上了自己的教育背景,优点,性
格,实习经历,获奖经历,朋友(特别将“朋友”单列出来)等。每一个面都用一两个最
典型的例子来述说。最开始说的英语明显走型,毕竟好久没哇啦了,之后好了些。Ellen和
Stuart教授的风范多多少少还是让我学到了些,而比较得当的肢体语言(至少不僵硬)多
少应能让评委感觉舒适。人说80%的沟通是由肢体语言决定的,兹体甚大矣。要走动,要根
据内容适时变化手势,眼神要灵泛,语气诚恳第一,含笑第二,高低变化第三,幽默第四
。若非放松的厉害,一般不会有幽默,否则效果寒死个人,不如不用。
关键是评委提问,四大HR一字排开,眼光如炬。左边的HR哥哥明显是内才型(事实也证明
了),表情就像大学生听课的那种;左边第二个应是组别里最高级别的HR,该中年男士抬
头看我的时间不超过半分钟,全程基本低头,表情严肃,很有气质;第三个姐姐开始似乎
一直用一种疑惑的眼神看着我,眉头不是很开;第四个HR一职含笑不语。一个HR手里一直
拿着手机,不知是不是在催促我快讲;表情疑惑的HR姐姐让我一开始就觉得倍受挑战。我
告诉自己,人的表情不能说明太多问题,关键是自己要真挚、积极、有信心。于是我便在
他们眼神的拷问下一一应答,不急不慢刚刚好,也不太将眼神投向第四个微笑的HR寻求庇
佑,相反,我试图用和煦的眼神融化他们“心中的冰山”。他们的问题基本针对我的介绍
展开,用的是通常的提问维度。
问我怎样看待销售的一天,答曰:我并不介意拎着包在大街小巷穿寻,接受上至高级经理
人下至普通店铺老板的挑战和交情(其实无所谓上下)。我真的喜欢与人接触,销售人员
每天无论在哪里都不能缺少清晰的分析能力、良好的沟通能力以及脚踏实地、充满自信、
永不言败、体贴入微的实干精神。
问:你的那些个才华可能早年不会有太多机会发挥,你怎么办?答曰:所谓的才能是为目
标服务的,目标需要怎样的实现路径,我就怎样走。而且我确信它们会带来切实帮助的。
问:你有什么爱好吗?答:。。。。。。喝水,喝水让我镇定。
请我叙说一件失败的事情。我说了北极选拔止步15的故事。
问:你是党员吗?(第三个HR姐姐问的,我注意到她的眉头越来越舒展,此时已经含笑了
,真漂亮)答曰:No,I want to be more humane.(笑声)
问:你认为在这三面选手当中排第几?答曰:我的特质老师们都看到了,我自己也自信保
持领先。我一般不用best这个词来形容人,因为这不人道,也不真实。我追求的是unique
,做独一无二的、真实的自己。而一个真实的自己、独一无二的自己,经历史检验发现,
是真正适合这份工作的。
其他问题一一奉上。
正准备告辞,HR哥哥突然抛出一张纸,问:你能用中文解释一下“空即非空”的意思吗?
我咯噔了一下,联系上个星期旁听罗一平老师博雅课上提到的“超以象外。。。。。。以
应无穷。。。。。。”做了一番空明拳法的解释。HR哥哥告诉我对了50%,管他呢,见仁见
智。出来时把电脑上的PPT关掉了,道了声谢谢就微笑离场了。
出来继续填表,正好碰见HR哥哥出来倒水,我赶紧请教“空即非空”的意思。顺道又说了
一通自己的理解,并请他赐张名片讨教。当晚我发邮件给他,再次谈了谈对“空即非空”
的理解,并致谢。实际上,我觉得这是上天给我的一个提醒。不要追求绝对完美的“空”
,真正的空蕴藉在“非空”中。“空”和“非空”的关系可以作为我们修行现实世界的法
门。我们要的是在平常生活中悟道,因为生命的每一个环节每一处场所都当是修习的道场
,对于每一场生命的邀约,惟正心诚意、全力以赴、欢欢喜喜方能圆满。
回家后大写日记,回味不已,但对前面路途的紧张和不安恐怕还难以根绝。此时日记就是
心灵排毒和疗伤的最好的药了。有了这些记忆,生命才不会像是白纸一张,自家《史记》
才有可能在历史的长河中做一叶载我们驶向无垠的小船。

像德涅泊尔河从忐忑走向宽广和未来。在不变的日子中慢慢静心,本来这个世界该咋样就
还是咋样。中途发生了印度Bombay的爆炸案,不由得为印度人民忧心,那些业已去世的人
可知和平相处相亲相爱的重要?七里八里的事情一多,也就不再日夜去看田埂上的秧苗,
放到一边吧,任其自成正果或者复归平寂。谋事在人,成事在天,尽人事,听天命。工作
当重视,可它的确不是生命的唯一。生命的维度那么丰富,我只要活着,就会每天争取开
开心心,积极向上,用生命中的点滴积累去温暖这个星球上的千山万水,众生芸芸。好不
容易有一次做人的机会,一定是因爱而生了。
12月1日晚跑到南校区Ellen&Stuart家,享受并不好吃的韩国混饭、蘑菇泥、蔬菜沙拉的同
时,敞开心扉交流。这对夫妇希望我坚守古老的灵魂(an old soul),塑造健全的人格、
健康的心态,保有宏观的视角和进步的理念。他们一直以来的启发、关爱、无言的教诲是
我感激不尽的。他们是人类的骄傲。
中间的招聘会也去看了看,更多时候是泡泡书,投投简历,喝喝水,听讲座,到中大最可
爱的白房子看记录片,结识朋友。我的大学时光可能就要“青春小鸟一去不复返”了,趁
着这最后的最好的时光,我一定要完成若干未了的心愿。哪怕注定毕业后要迎来空档期,
也无妨。生命赐给的,总是精彩。只要你怀抱faith,迎风迎雨总能迎太阳。
然后就到了现在。12月6号上午,接到J&J的HR电话,问我意向是广州还是深圳。我想到了
深圳的活力和活力之中一批如同荣荣姐那样的人。没有惊喜若狂,也非淡然处之,一种浅
浅的感慨,人生又要向前滚动了。
